1. Agreement to Terms

By accessing or utilizing Vendor NetFlow, you agree to be bound by these legal terms and conditions. The platform delivers localized CRM, staff workforce boards, invoice compilers, solar mathematical calculators, and PDF document formatting structures for individual solar vendors and EPC contracting organizations throughout India.

2. User Representations & Operational Accuracy

As the primary account holder and vendor, you represent and warrant that:

• You are solely responsible for verifying the absolute technical and legal correctness of all consumer details, load statistics, connected utilities, and company GSTIN info entered into the system.
• All documents compiled by Vendor NetFlow (including proforma releases, tax invoices, state DISCOM Annexures, DCR declarations, and E-Way bills) are generated directly from your manual input. The system does not review or doublecheck information for submission errors.
• You must thoroughly verify all generated PDFs prior to placing any official digital signatures or submitting documents to government portals, financial organizations, or electricity boards.

3. Prepaid Token Wallet Economy

Vendor NetFlow operates on a prepaid, consumption-based Token Wallet model to keep resources highly scalable:

• Purchase Model: Tokens are bought in prepaid packages via our integrated payment processor (Razorpay) inside the token store.
• No Refunds: All token purchases are strictly final and non-refundable. We do not provide credit reversals, partial refunds, or token restores.
• Deduction Metrics: Tokens are deducted in real-time upon trigger of premium actions (e.g. compiling professional PDF documents, fetching corporate records via live GSTIN sweeps, or using the AI Letter Generator). No refunds or token restorations are offered for documents compiled with typos or user input errors.
• Price Adjustments: The token cost of individual platform actions is subject to adjustments based on third-party API rates. Any structural pricing updates will be communicated clearly on the vendor panel.

4. Lead CRM Ownership & Intellectual Property

All source code, user interfaces, branding assets, automated templates, and AI workflows inside Vendor NetFlow represent the exclusive intellectual property of the platform owners. Conversely, all consumer leads, site surveys, uploaded media, client CA numbers, and staff metrics generated inside your localized workspace remain your exclusive proprietary business data. We do not claim ownership of or share your business databases.

5. System Availability & Service Guarantees

We work to maintain high platform uptime. However, because our systems interface with multiple external services (such as discom servers, government lookup APIs, payment aggregators, and mapping services), we cannot guarantee uninterrupted access. Scheduled maintenance will be performed during off-peak hours with notifications displayed on the admin control panel.

6. Liability Constraints

In no event shall Vendor NetFlow, its developer Shani Raj, or its associates be liable for any special, incidental, indirect, or consequential damages resulting from user errors, server interruptions, government portal submission rejections, or loss of solar leads. Our total cumulative financial liability under any circumstances is strictly capped at the total amount paid by you for token packages in the thirty (30) days immediately preceding the event.

7. Governing Jurisdiction & Dispute Resolution

These terms and conditions shall be governed by, and interpreted in full accordance with, the laws of the Republic of India. Any legal dispute, claim, or difference arising from your use of this platform shall be subject to the exclusive jurisdiction of the courts located in **Auraiya, Uttar Pradesh, India**.
